    Internal Controls

SEC (Sustainable Enterprise Evaluation Commission) operates an internal control system to safeguard the Independence, Fairness, Objectivity, and Reliability of its evaluations and to ensure that evaluation activities are consistently conducted in accordance with established principles and procedures.

Internal Controls are not intended to control or replace professional evaluation judgment. Rather, they provide a management framework for maintaining an environment in which professional evaluation judgments can be made independently and fairly by clearly defining authority and responsibility and systematically managing evaluation materials and information, conflicts of interest, evaluation procedures, and evaluation records.

    I. Fundamental Principles of Internal Control

SEC operates its internal control system with due respect for the Independence and Professionalism of evaluation activities, while appropriately managing operational risks and conflicts of interest that may arise during the evaluation process and ensuring the consistent application of established evaluation principles and procedures.

Internal Controls are applied within a reasonable scope according to the nature and needs of evaluation activities and are not operated in a manner that compromises the Independence of Evaluation or professional judgment or permits management or administrative authority to improperly interfere with individual evaluation judgments.

Through Internal Controls, SEC supports the appropriate performance of evaluation activities and manages risk factors identified during the evaluation process to safeguard the Reliability of evaluation results.

II. Authority and Responsibility for Evaluation Activities and Finalization of Evaluation Results

SEC clearly distinguishes authority and responsibility at each stage of the evaluation process to ensure that evaluation activities are conducted systematically and independently.

Evaluation activities, including the collection and verification of evaluation materials, quantitative and qualitative evaluation, score calculation, derivation of the WFSRI, Factual Review, and comprehensive review, are conducted in accordance with established roles and procedures.

The Evaluation Committee conducts professional review and deliberation on individual evaluations on the basis of evaluation materials and results derived through the evaluation process and finalizes evaluation results, Ratings, and certification-related determinations in accordance with the SEC Evaluation Methodology, the SEC Evaluation Framework, and established evaluation principles and procedures.

The Chair of the Evaluation Committee administers meetings and deliberation procedures to facilitate the independent review and deliberation of the Evaluation Committee and maintains an environment in which the professional judgment of Evaluation Committee members is respected. The Chair does not independently determine any particular evaluation result, Rating, or certification-related determination on behalf of the Evaluation Committee.

Management and the Board of Directors support the organizational, personnel, financial, institutional, and operational foundations necessary for evaluation activities but do not direct or arbitrarily alter professional judgments concerning individual evaluations or evaluation results, Ratings, or certification-related determinations finalized by the Evaluation Committee in accordance with established procedures, nor subject such determinations to separate management approval.

Internal Controls are intended to verify that established authority and procedures have been appropriately observed at each stage of the evaluation process. They do not replace the professional judgment of the Evaluation Committee or constitute authority to separately approve or alter final evaluation results.

This allocation of authority and responsibility is intended to prevent the inappropriate concentration of evaluation authority in any particular individual or organizational unit, distinguish management functions from evaluation functions, and safeguard the Independence, Objectivity, and Reliability of both the evaluation process and final evaluation results.

III. Management of Evaluation Materials and Information

SEC appropriately manages evaluation materials and information collected, submitted, or generated during the evaluation process according to their nature and the level of protection required.

Evaluation materials and information are used only for purposes and within the scope necessary for evaluation activities, and appropriate access controls are applied to non-public information and materials requiring protection.

Persons engaged in evaluation activities must not use or provide non-public information or protected materials obtained through the evaluation process outside their authorized purposes and procedures.

Access to, use, sharing, and protection of evaluation materials and information are managed in accordance with SEC’s principles of Confidentiality and applicable standards and procedures.

IV. Compliance with and Management of Evaluation Procedures

SEC manages evaluation activities to ensure that they are conducted in accordance with the SEC Evaluation Methodology, the SEC Evaluation Framework, and established evaluation procedures.

Necessary review and verification during the evaluation process are conducted in accordance with established authority, roles, and procedures, and arbitrary evaluation judgments or changes to evaluation results outside legitimate evaluation procedures are not permitted.

Where an error or matter requiring additional verification is identified during the evaluation process, it is reviewed and necessary measures are applied in accordance with established procedures.

Review and verification under Internal Controls are not intended to arbitrarily alter or replace professional evaluation judgment but to confirm that established evaluation principles and procedures have been appropriately applied.

Once the Evaluation Committee has finalized evaluation results, Ratings, and certification-related determinations in accordance with its established authority and procedures, management, the Board of Directors, or Internal Control functions must not subject them to separate approval or alter them on the basis of management interests. Where further review is required through Factual Review, Appeal, or other established procedures, such matters are addressed in accordance with the applicable procedures.

    V. Management of Conflicts of Interest and Risks to Independence

Where a conflict of interest or other risk factor that may affect the Independence or Fairness of Evaluation is identified during the evaluation process, SEC reviews its nature and extent and its potential impact on evaluation activities.

SEC ensures that relationships with evaluation subjects, interests involving persons engaged in evaluation activities, and other matters that may affect Evaluation Independence are managed in accordance with established conflict-of-interest management standards and principles of economic independence.

Where necessary, SEC applies appropriate measures to manage such risks, including separation of duties, information barriers, restrictions on access, reassignment of responsibilities, recusal, and avoidance.

Such management measures are not intended to produce favorable or unfavorable judgments merely because an interest exists, but to protect professional judgments concerning individual evaluations from undue influence.

    VI. Management of Evaluation Records

SEC appropriately maintains and manages necessary evaluation records to support the consistency and Reliability of evaluation activities and to enable appropriate review and verification of the evaluation process.

Evaluation records are managed according to the nature and needs of evaluation activities, and where they contain non-public information or protected content, access and use are controlled in accordance with applicable standards and procedures.

Evaluation records may be used to verify the appropriateness of the evaluation process and compliance with key procedures and to review relevant facts where Factual Review, Appeal, or other necessary review is conducted.

Evaluation records are managed to the extent necessary to support the traceability and verifiability of the evaluation process and must not be improperly used or disclosed outside their established purposes.

VII. Review and Improvement of Internal Controls

SEC continuously reviews its internal control system in consideration of changes in the evaluation environment and operations, newly identified risk factors, and operational needs relating to Internal Controls.

Where a matter requiring improvement is identified through Internal Controls, SEC reviews its cause and potential impact on evaluation activities and applies necessary improvement measures.

The review and improvement of the internal control system are not intended to interfere with professional evaluation judgment but to strengthen an evaluation environment capable of continuously maintaining the Independence, Fairness, Objectivity, and Reliability of Evaluation.

Through these Internal Controls, SEC continuously ensures that evaluation activities are systematically conducted in accordance with established principles and procedures and that individual evaluation results finalized through the professional deliberation of the Evaluation Committee are protected from management interests and undue influence.
