Prevention of Undue Influence

 

 

 

 

 

SEC평가원(Sustainable Enterprise Evaluation Commission)은 개별 평가에 관한 전문적 판단과 평가결과가 외부 또는 내부의 부당한 영향으로부터 보호되도록 필요한 원칙과 절차를 적용한다.

 

SEC (Sustainable Enterprise Evaluation Commission) applies appropriate principles and procedures to protect professional judgments and evaluation results concerning individual evaluations from undue external or internal influence.

 

평가대상, 이해관계자, 거래관계자, 경영진, 임직원 또는 그 밖의 어떠한 주체도 정당한 평가절차와 권한의 범위를 벗어나 개별 평가판단·평가결과·평가등급 또는 인증 관련 판단에 부당하게 개입해서는 안 된다.

 

No evaluation subject, stakeholder, business counterparty, member of management, employee, or other party may improperly interfere with individual evaluation judgments, evaluation results, Ratings, or certification-related determinations outside legitimate evaluation procedures and the scope of established authority.

 

 

 

Ⅰ. 부당한 영향력 차단의 기본원칙

I. Fundamental Principles for Preventing Undue Influence

 

 

SEC평가원은 평가에 관한 전문적 판단이 객관적인 자료와 검증 가능한 정보, SEC 평가방법론(SEC Evaluation Methodology), SEC 평가체계(SEC Evaluation Framework) 및 정해진 평가원칙과 절차에 따라 독립적으로 이루어지도록 한다.

 

SEC ensures that professional evaluation judgments are made independently on the basis of objective data, verifiable information, the SEC Evaluation Methodology, the SEC Evaluation Framework, and established evaluation principles and procedures.

 

정당한 평가절차에 따른 자료의 제출, 사실관계의 확인, 전문적인 검토와 심의 및 사실확인·이의신청은 부당한 영향력으로 보지 않는다.

 

Submission of materials, verification of facts, professional review and deliberation, and Factual Review and Appeal conducted in accordance with legitimate evaluation procedures are not regarded as undue influence.

 

다만 이러한 절차를 이용하여 정당한 근거 없이 평가판단이나 평가결과를 특정 방향으로 변경하도록 요구하거나 압력을 행사해서는 안 된다.

 

However, such procedures must not be used to demand or exert pressure for evaluation judgments or results to be changed in a particular direction without legitimate grounds.

 

 

 

Ⅱ. 외부의 부당한 영향력 차단

II. Prevention of External Undue Influence

 

 

SEC평가원은 평가대상, 이해관계자, 거래관계자 또는 그 밖의 외부 주체가 평가에 관한 전문적 판단에 부당한 영향을 미치는 것을 허용하지 않는다.

 

SEC does not permit evaluation subjects, stakeholders, business counterparties, or other external parties to improperly influence professional evaluation judgments.

 

평가결과에 영향을 미치기 위한 부당한 청탁·압력·회유, 금전·금품·편의 또는 그 밖의 경제적 이익의 제공이나 기타 부적절한 개입은 허용하지 않으며, 이러한 행위는 평가판단의 근거가 될 수 없다.

 

Improper solicitation, pressure, inducement, the provision of money, gifts, favors, or other economic benefits, or other inappropriate interference intended to influence evaluation results is not permitted and must not serve as a basis for evaluation judgment.

 

평가대상의 규모·사회적 영향력 또는 SEC평가원과의 정당한 업무상 관계가 개별 평가판단·평가결과·평가등급 또는 인증 관련 판단에 부당한 영향을 미치도록 해서는 안 된다.

 

The size or social influence of an evaluation subject, or any legitimate operational relationship with SEC, must not be allowed to improperly influence individual evaluation judgments, evaluation results, Ratings, or certification-related determinations.

 

 

 

Ⅲ. 내부의 부당한 영향력 차단

III. Prevention of Internal Undue Influence

 

 

SEC평가원은 경영진, 이사회, 임직원, 내부통제 기능 또는 그 밖의 내부 관계자가 정당한 권한과 절차를 벗어나 개별 평가에 관한 전문적 판단에 부당하게 개입하는 것을 허용하지 않는다.

 

SEC does not permit management, the Board of Directors, employees, the Internal Control function, or other internal parties to improperly interfere with professional judgments concerning individual evaluations outside their legitimate authority and established procedures.

 

회사의 경영 및 사업운영에 관한 권한이나 내부통제에 관한 권한은 개별 평가대상에 대한 평가판단·평가결과·평가등급 또는 인증 관련 판단을 특정 방향으로 결정하거나 변경하도록 지시·요구할 수 있는 권한을 의미하지 않는다.

 

Authority concerning corporate management and business operations or Internal Control does not constitute authority to direct or require evaluation judgments, evaluation results, Ratings, or certification-related determinations concerning an individual evaluation subject to be determined or changed in a particular direction.

 

개별 평가의 내용과 결과에 관한 최종적인 전문적 의사결정 권한은 평가위원회에 있다. 경영진·이사회 또는 내부통제 기능은 평가위원회가 정해진 권한과 절차에 따라 확정한 최종 평가결과·평가등급 및 인증 관련 판단을 별도로 승인·거부하거나 임의로 변경할 권한을 갖지 않는다.

 

The Evaluation Committee has final professional decision-making authority over the substance and results of individual evaluations. Management, the Board of Directors, and the Internal Control function have no authority to separately approve, reject, or arbitrarily alter final evaluation results, Ratings, or certification-related determinations finalized by the Evaluation Committee in accordance with its established authority and procedures.

 

평가위원장은 평가위원회의 독립적인 검토와 심의를 위한 회의와 심의절차를 운영하지만, 평가위원회를 대신하여 단독으로 특정 평가결과·평가등급 또는 인증 관련 판단을 결정하거나 변경하지 않는다.

 

The Chair of the Evaluation Committee administers meetings and deliberation procedures for the independent review and deliberation of the Evaluation Committee but does not independently determine or alter any particular evaluation result, Rating, or certification-related determination on behalf of the Evaluation Committee.

 

평가과정에서 필요한 전문적인 검토와 의견조정 및 평가위원회 심의는 정해진 권한과 절차에 따라 이루어지며, 이러한 정당한 절차는 부당한 개입으로 보지 않는다.

 

Professional review, coordination of opinions, and Evaluation Committee deliberation necessary during the evaluation process are conducted in accordance with established authority and procedures, and such legitimate processes are not regarded as improper interference.

 

 

 

Ⅳ. 평가업무 수행자와 평가위원의 대응

IV. Response by Evaluation Personnel and Evaluation Committee Members

 

 

평가업무 수행자와 평가위원은 외부 또는 내부의 부당한 지시·압력·청탁·회유 또는 기타 개입을 이유로 전문적 평가판단을 변경해서는 안 된다.

 

Persons engaged in evaluation activities and Evaluation Committee members must not alter professional evaluation judgments because of improper external or internal instructions, pressure, solicitation, inducement, or other interference.

 

평가의 독립성이나 공정성을 훼손할 우려가 있는 부당한 영향이나 개입이 확인된 경우 이를 평가판단에 반영하지 않고 정해진 기준과 절차에 따라 필요한 조치를 취한다.

 

Where undue influence or interference that may compromise the Independence or Fairness of Evaluation is identified, it is not reflected in evaluation judgments, and necessary measures are taken in accordance with established standards and procedures.

 

평가업무 수행자는 부당한 영향력에 대응하는 과정에서도 객관적인 자료와 검증 가능한 정보 및 정해진 평가원칙과 절차를 기준으로 자신의 역할과 권한에 따른 전문적 판단을 유지한다.

 

In responding to undue influence, persons engaged in evaluation activities maintain professional judgment within their respective roles and authority on the basis of objective data, verifiable information, and established evaluation principles and procedures.

 

평가위원은 부당한 영향이나 개입으로부터 독립하여 객관적인 평가근거와 자신의 전문성을 바탕으로 심의에 참여하며, 평가위원회의 최종적인 전문적 판단이 정당한 평가절차에 따라 이루어질 수 있도록 한다.

 

Evaluation Committee members participate in deliberations independently of undue influence or interference and on the basis of objective evaluation evidence and their professional expertise, thereby ensuring that the final professional judgment of the Evaluation Committee is made through legitimate evaluation procedures.

 

 

 

Ⅴ. 경제적 이익을 통한 영향력 차단

V. Prevention of Influence through Economic Benefits

 

 

SEC평가원은 평가의 독립성과 공정성을 확보하기 위하여 평가대상으로부터 평가비·심사비·인증비·후원금 및 기타 경제적 대가나 지원을 받지 않는다.

 

To safeguard the Independence and Fairness of Evaluation, SEC does not accept evaluation fees, review fees, certification fees, sponsorships, or other economic consideration or support from evaluation subjects.

 

평가위원장·평가위원·임직원 및 그 밖의 평가·인증 관련자 역시 평가대상으로부터 평가비·심사비·인증비·후원금 및 기타 경제적 대가나 지원을 받아서는 안 된다.

 

The Chair of the Evaluation Committee, Evaluation Committee members, employees, and other persons involved in evaluation or certification must likewise not accept evaluation fees, review fees, certification fees, sponsorships, or other economic consideration or support from evaluation subjects.

 

평가대상은 금전·금품·편의 또는 그 밖의 경제적 이익을 제공하여 개별 평가판단·평가결과·평가등급 또는 인증 관련 판단에 영향을 미쳐서는 안 되며, 평가·인증 관련자는 이러한 경제적 이익을 요구하거나 제공받아서는 안 된다.

 

Evaluation subjects must not seek to influence individual evaluation judgments, evaluation results, Ratings, or certification-related determinations through money, gifts, favors, or other economic benefits, and persons involved in evaluation or certification must not request or accept such economic benefits.

 

평가대상과의 정당한 업무상 관계가 존재하는 경우에도 해당 관계는 평가에 관한 전문적 판단과 명확하게 분리되어야 하며, 개별 평가판단·평가결과·평가등급 또는 인증 관련 판단을 유리하거나 불리하게 하는 근거가 되어서는 안 된다.

 

Even where a legitimate operational relationship with an evaluation subject exists, such relationship must be clearly separated from professional evaluation judgment and must not serve as a basis for favorable or unfavorable treatment in individual evaluation judgments, evaluation results, Ratings, or certification-related determinations.

 

 

 

Ⅵ. 부당한 영향이 확인된 경우의 조치

VI. Measures upon Identification of Undue Influence

 

 

SEC평가원은 평가과정에서 부당한 영향이나 개입이 확인된 경우 그 성격과 정도 및 해당 평가업무에 미칠 수 있는 영향을 검토하고 필요한 조치를 적용한다.

 

Where undue influence or interference is identified during the evaluation process, SEC reviews its nature and extent and its potential impact on the relevant evaluation activities and applies necessary measures.

 

필요한 경우 해당 영향으로부터 평가업무를 분리하고, 정보차단, 관련 정보에 대한 접근권한 제한, 업무 재배정, 제척·회피 등 전문적 평가판단을 보호하기 위한 적절한 조치를 적용한다.

 

Where necessary, SEC applies appropriate measures to protect professional evaluation judgment, including separation of evaluation activities from the source of influence, information barriers, restrictions on access to relevant information, reassignment of responsibilities, recusal, and avoidance.

 

부당한 영향이나 개입으로 인해 평가과정의 일부를 다시 확인할 필요가 있는 경우에는 객관적인 자료와 검증 가능한 정보를 바탕으로 정해진 권한과 절차에 따라 필요한 검토와 확인을 실시한다.

 

Where undue influence or interference makes it necessary to re-examine any part of the evaluation process, the necessary review and verification are conducted in accordance with established authority and procedures on the basis of objective data and verifiable information.

 

이 경우 내부통제 기능이나 경영진이 전문적 평가판단 또는 평가결과를 직접 변경하지 않는다. 평가내용에 대한 추가적인 전문적 검토가 필요한 경우에는 정해진 평가절차와 권한구조에 따라 해당 평가단계 또는 평가위원회에서 검토한다.

 

In such cases, neither the Internal Control function nor management directly alters professional evaluation judgments or evaluation results. Where additional professional review of evaluation content is required, the matter is reviewed at the appropriate stage of the evaluation process or by the Evaluation Committee in accordance with established evaluation procedures and the applicable allocation of authority.

 

사실확인·이의신청 또는 그 밖에 정해진 재검토 절차에 따라 최종 평가결과에 대한 재검토가 필요한 경우에도 평가내용에 관한 최종적인 전문적 판단은 해당 절차를 거쳐 평가위원회가 수행한다.

 

Even where final evaluation results require reconsideration through Factual Review, Appeal, or another established review procedure, the Evaluation Committee exercises the final professional judgment concerning evaluation content following the applicable procedure.

 

 

 

Ⅶ. 정당한 의견제시와 부당한 영향력의 구분

VII. Distinction between Legitimate Input and Undue Influence

 

 

SEC평가원은 평가대상이나 이해관계자가 객관적인 자료를 제출하거나 사실관계에 관한 의견을 제시하는 행위 자체를 부당한 영향력으로 보지 않는다.

 

SEC does not regard the submission of objective materials or the presentation of views concerning factual matters by an evaluation subject or stakeholder, in itself, as undue influence.

 

평가대상은 정해진 절차에 따라 평가에 필요한 자료를 제출하고 사실관계를 확인하며 사실확인 및 이의신청 절차를 이용할 수 있다.

 

Evaluation subjects may submit materials necessary for evaluation, verify relevant facts, and use Factual Review and Appeal procedures in accordance with established procedures.

 

정당한 절차에 따라 제출된 자료나 의견은 그 내용과 근거를 객관적으로 검토할 수 있으며, 이러한 검토 자체는 평가의 독립성을 훼손하지 않는다.

 

Materials or views submitted through legitimate procedures may be objectively reviewed on the basis of their substance and supporting evidence, and such review does not in itself compromise Evaluation Independence.

 

다만 정당한 절차의 범위를 벗어나 특정 평가결과를 요구하거나 평가업무 수행자 또는 평가위원에게 부당한 압력을 행사하는 행위는 허용하지 않는다.

 

However, demanding a particular evaluation result or exerting improper pressure on persons engaged in evaluation activities or Evaluation Committee members outside the scope of legitimate procedures is not permitted.

 

 

 

Ⅷ. 평가 독립성의 지속적 보호

VIII. Ongoing Protection of Evaluation Independence

 

 

SEC평가원은 평가업무 전 과정에서 외부와 내부의 부당한 영향 가능성을 지속적으로 확인하고, 필요한 경우 해당 위험을 차단하거나 관리하기 위한 조치를 적용한다.

 

SEC continuously identifies potential external and internal undue influence throughout the evaluation process and, where necessary, applies measures to prevent or manage such risks.

 

부당한 영향력 차단은 평가대상이나 이해관계자와의 정당한 소통을 제한하기 위한 것이 아니라, 정당한 소통과 전문적인 평가판단의 경계를 명확히 하고 평가결과가 부당한 영향에 의해 왜곡되는 것을 방지하기 위한 것이다.

 

The prevention of undue influence is not intended to restrict legitimate communication with evaluation subjects or stakeholders. It is intended to maintain a clear boundary between legitimate communication and professional evaluation judgment and to prevent evaluation results from being distorted by undue influence.

 

SEC평가원은 외부 또는 내부의 어떠한 주체도 정해진 권한과 절차를 벗어나 개별 평가의 전문적 판단에 부당하게 개입할 수 없도록 하고, 평가위원회의 최종적인 전문적 의사결정 권한이 존중되도록 한다.

 

SEC ensures that no external or internal party may improperly interfere with professional judgments concerning individual evaluations outside established authority and procedures and that the final professional decision-making authority of the Evaluation Committee is respected.

 

SEC평가원은 이를 통해 개별 평가에 관한 전문적 판단과 최종 평가결과·평가등급 및 인증 관련 판단이 객관적인 자료와 검증 가능한 정보, SEC 평가방법론, SEC 평가체계 및 정해진 평가원칙과 절차에 따라 독립적이고 공정하게 도출·확정되도록 한다.

 

Through these measures, SEC ensures that professional judgments and final evaluation results, Ratings, and certification-related determinations concerning individual evaluations are independently and fairly derived and finalized on the basis of objective data, verifiable information, the SEC Evaluation Methodology, the SEC Evaluation Framework, and established evaluation principles and procedures.
